1. Agreement to Terms

By accessing or using NordicB2B ("the Service"), operated by Kontorva Oy ("we," "us," or "the Company"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service. These terms apply to all users, including individual users and organizations.

2. Description of Service

NordicB2B is a B2B sales intelligence platform providing company data, contact information, and business signals across Sweden, Denmark, Norway, and Finland. The Service includes data search, filtering, export capabilities, CRM integrations, and related features as described on our platform.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old or have legal authority to enter contracts
• Provide accurate, complete, and current registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

4. Subscription and Payments

Billing: Subscriptions are billed in advance on a monthly or annual basis. Prices are in EUR and exclusive of applicable taxes.

Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.

Refunds: We offer a 14-day money-back guarantee for new subscriptions. After this period, fees are non-refundable except where required by law.

Price Changes: We may modify pricing with 30 days notice. Existing subscriptions maintain their rate until the next renewal period.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Send unsolicited bulk communications (spam)
• Attempt to gain unauthorized access to our systems
• Resell, redistribute, or sublicense data without authorization
• Use automated systems to scrape or extract data beyond API limits
• Engage in activities that harm or harass individuals
• Circumvent usage limits or security measures

6. Data Usage and Licensing

License Grant: We grant you a limited, non-exclusive, non-transferable license to use data obtained through the Service for your internal business purposes only.

Restrictions: You may not resell, redistribute, or create derivative databases from our data. Export limits apply based on your subscription tier.

Compliance: You are responsible for using data in compliance with applicable laws, including GDPR, and for obtaining necessary consents when contacting individuals.

7. Intellectual Property

The Service, including its design, features, and content, is owned by Kontorva Oy and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service without our written permission.

8. Data Accuracy Disclaimer

While we strive for accuracy, business data changes frequently. We provide data "as is" without warranties of completeness or accuracy. You should verify critical information independently. We are not liable for decisions made based on our data.

9. Limitation of Liability

To the maximum extent permitted by law, Kontorva Oy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Kontorva Oy, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of third-party rights.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service ceases immediately. We may suspend or terminate your account for violation of these terms without prior notice. Provisions regarding intellectual property, liability, and indemnification survive termination.

12. Governing Law

These terms are governed by the laws of Finland. Any disputes shall be resolved in the courts of Helsinki, Finland. Notwithstanding the foregoing, you agree that we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.
